Terms Of Service

1. Introduction and Acceptance

1.1 These Terms of Service (the “Terms”) govern your access to and use of Text Navigation, an SMS-based navigation service (the “Service”) operated by Text Navigation (the “Operator,” “we,” “us,” or “our”).

1.2 By registering for, accessing, or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not access or use the Service.

1.3 The Service is currently provided as an open-ended beta release. Accordingly, the Service may be incomplete, may contain errors, and may be modified, suspended, or discontinued at any time in accordance with Section 8.

1.4 These Terms incorporate by reference the Privacy Policy and the Cookie Policy, each of which forms part of your agreement with the Operator. In the event of any conflict between these Terms and the Privacy Policy with respect to the handling of personal data, the Privacy Policy shall prevail.

2. Eligibility

2.1 The Service is available only to individuals who are at least eighteen (18) years of age. By registering for or using the Service, you represent and warrant that you are at least eighteen (18) years of age.

2.2 The Service is intended for use only by individuals located within the United States. The Operator makes no representation that the Service is appropriate or available for use outside the United States, and you must not access or use the Service from any jurisdiction in which such use would be unlawful.

2.3 The Operator does not knowingly permit any individual under the age of eighteen (18) to register for or use the Service. Where the Operator becomes aware that a User does not satisfy the eligibility requirements set out in this Section 2, the Operator may suspend or terminate the relevant Account in accordance with Section 12.

3. The Service

3.1 The Service enables a User to obtain navigation directions by transmitting a Navigation Request by SMS and receiving the corresponding Navigation Output by SMS.

3.2 The Service relies on third-party mapping, routing, and message-delivery providers, as further described in the Privacy Policy. The Operator does not control, and is not responsible for, the accuracy, availability, or performance of such third-party providers.

3.3 The Service does not provide real-time traffic monitoring, hazard alerts, live rerouting, or any safety-critical guidance. Navigation Output is provided for general informational purposes only and is subject to the disclaimers set out in Section 9.

4. SMS Communications and Consent

4.1 The Service operates by SMS. By registering for and using the Service, you expressly consent to receive SMS Messages from the Operator at the mobile telephone number associated with your Account, including SMS Messages comprising Navigation Output and SMS Messages relating to the operation, security, and administration of the Service.

4.2 The SMS Messages you receive are sent in response to, and in connection with, your use of the Service. The Operator does not transmit marketing or promotional SMS Messages.

4.3 Message frequency depends on your use of the Service. Message and data rates may be charged by your mobile carrier in accordance with your mobile service plan. The Operator is not responsible for any such charges.

4.4 You may opt out of receiving SMS Messages at any time by replying “STOP” to any SMS Message received from the Service. Following such opt-out, the Operator will cease transmitting SMS Messages to the relevant mobile telephone number, and the Service will no longer function for that number. You may reply “HELP” to obtain assistance.

4.5 For the avoidance of doubt, opting out of SMS Messages renders the Service inoperable, as the Service can be delivered only by SMS. Opting out does not, of itself, delete your Account; Account deletion is governed by Sections 11 and 12.

4.6 You represent and warrant that you are the subscriber or customary user of the mobile telephone number provided at registration, and that you are authorized to consent to receive SMS Messages at that number. You agree to notify the Operator and to update your Account if you cease to use that number.

5. Account Registration

5.1 To use the Service, you must register an Account by providing a valid email address and a valid mobile telephone number. You agree that the information you provide is accurate, current, and complete.

5.2 You are responsible for all activity conducted through your Account and for maintaining the confidentiality of any credentials associated with your Account. You must notify the Operator promptly of any unauthorized use of your Account.

5.3 You must not register an Account on behalf of any other person, or provide a mobile telephone number or email address that you are not authorized to use.

6. Acceptable Use

6.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.

6.2 You must not:

(a) use the Service in any manner that violates any applicable law or regulation;

(b) use the Service to transmit any unlawful, harassing, or abusive content;

(c) interfere with, disrupt, or impose an unreasonable burden on the Service or the infrastructure on which it operates, including by transmitting automated, bulk, or high-volume Navigation Requests;

(d) attempt to gain unauthorized access to the Service, to any Account other than your own, or to any system or network connected to the Service;

(e) reverse engineer, or otherwise attempt to derive the source code or underlying structure of the Service, except to the extent such restriction is prohibited by applicable law;

(f) use the Service to develop, train, or populate any competing product or dataset, or to extract, scrape, or systematically harvest Navigation Output; or

(g) use the Service in any safety-critical context, or in any circumstances in which the failure or inaccuracy of the Service could result in death, personal injury, or property damage.

6.3 The Operator may suspend or terminate your access to the Service, in accordance with Section 12, where it determines that you have breached this Section 6.

7. Privacy

7.1 The Operator’s collection, use, retention, and disclosure of personal data in connection with the Service are governed by the Privacy Policy, which forms part of these Terms.

7.2 You acknowledge that Navigation Request data is retained for a limited period and is automatically deleted thereafter, and that the data-access, download, and deletion controls available to you are constrained to that retention window, in each case as described in the Privacy Policy.

8. Beta Status, Service Availability, and Modifications

8.1 The Service is provided on an “as available” basis during an open-ended beta period. The Operator does not warrant that the Service will be available, uninterrupted, timely, secure, or error-free, and provides no service-level commitment or uptime guarantee.

8.2 The Operator may, at any time and without prior notice or liability, modify, suspend, or discontinue the Service or any part of it, including by altering its features, functionality, or third-party dependencies.

8.3 The Service depends on third-party providers for message delivery, mapping, and routing. The Operator does not warrant the continued availability of any such provider, and the suspension or discontinuation of any such provider may result in the interruption or discontinuation of the Service.

8.4 The Operator is under no obligation to provide support, maintenance, updates, or error corrections in respect of the Service.

9. Navigation Disclaimer

9.1 Navigation Output is provided for general informational purposes only. You must not rely on Navigation Output as your sole or primary source of navigation, and you must not rely on Navigation Output for any safety-critical decision.

9.2 Navigation Output may be inaccurate, incomplete, or out of date. It may not account for road closures, construction, traffic conditions, weather, one-way restrictions, vehicle or load restrictions, or other conditions affecting a route. The Operator does not verify Navigation Output and does not warrant its accuracy, completeness, or suitability for any purpose.

9.3 You remain solely responsible for your conduct while traveling.

9.4 For the avoidance of doubt, the Operator accepts no responsibility for any route taken, any delay, or any consequence arising from your reliance on Navigation Output.

10. Intellectual Property

10.1 As between you and the Operator, the Operator owns all right, title, and interest in and to the Service, including its software, design, and presentation, together with all associated intellectual property rights. Subject to your compliance with these Terms, the Operator grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use during the term of your Account.

10.2 Navigation Output is derived from third-party mapping and routing data that is licensed to the Operator by its providers and remains subject to the terms imposed by those providers. The Operator makes no representation or warranty as to your rights in respect of such third-party data, and you must not use Navigation Output in any manner inconsistent with the applicable third-party terms.

10.3 Nothing in these Terms transfers to you any ownership of the Service or of any third-party data, save for the limited licence expressly granted in Section 10.1.

11. Account Inactivity and Data Deletion

11.1 An Account that remains inactive for a continuous period of ten (10) days will be marked for deletion. The Operator will notify the User by email that the Account, together with the associated Account data, will be deleted within twenty-four (24) hours of such notice, unless, within that period, the User either logs in to the Account or submits a Navigation Request from the mobile telephone number associated with the Account. Where the User takes neither step within that period, the Account and the associated Account data will be deleted in accordance with the Privacy Policy.

11.2 Deletion of an Account under Section 11.1 is permanent. Once an Account and its associated data have been deleted, they cannot be recovered, and you will be required to register a new Account to resume use of the Service; however, a new Account cannot be registered using the same email address for a period of at least forty-eight (48) hours following deletion.

11.3 Certain data may be retained by the Operator’s third-party hosting and infrastructure providers, for limited periods and outside the Operator’s direct control, as described in the Privacy Policy. The Operator may also retain or preserve data where required to do so to comply with applicable law or legal process.

12. Suspension and Termination

12.1 You may terminate your Account at any time by deleting it through the controls made available within the Service, subject to Section 4.5.

12.2 The Operator may suspend or terminate your access to the Service, in whole or in part, with or without notice, where:

(a) you breach these Terms;

(b) the Operator is required to do so to comply with applicable law or valid legal process;

(c) the continued provision of the Service to you would expose the Operator to liability or risk; or

(d) the Operator discontinues the Service in accordance with Section 8.

12.3 Upon termination, your right to access and use the Service ceases immediately. Sections 6, 9, 10, 13, 14, 15, 16, and 18, together with any provision which by its nature is intended to survive, shall survive termination of these Terms.

13. Disclaimer of Warranties

13.1 To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory.

13.2 The Operator expressly disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

13.3 Without limiting the foregoing, the Operator does not warrant that the Service will meet your requirements, that Navigation Output will be accurate or reliable, that SMS Messages will be delivered or delivered without delay, or that the Service will be available, uninterrupted, secure, or error-free.

13.4 The Operator is not responsible for the acts, omissions, performance, or availability of any third-party mapping, routing, message-delivery, hosting, or infrastructure provider, or of any mobile carrier.

13.5 Some jurisdictions do not permit the exclusion of certain warranties. Accordingly, some of the exclusions in this Section 13 may not apply to you, in which case such exclusions apply to the maximum extent permitted by applicable law.

14. Limitation of Liability

14.1 The Service is provided free of charge during the beta period. To the maximum extent permitted by applicable law, the Operator shall not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with these Terms or your use of, or inability to use, the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not the Operator has been advised of the possibility of such damages.

14.2 To the maximum extent permitted by applicable law, the aggregate liability of the Operator arising out of or in connection with these Terms or your use of the Service shall not exceed the greater of (a) the total amount, if any, paid by you to the Operator for the Service in the twelve (12) months preceding the event giving rise to the claim, and (b) Fifty United States dollars (US $50). For the avoidance of doubt, the Service is provided free of charge, and the amount under (a) may be zero.

14.3 Nothing in these Terms excludes or limits the liability of the Operator for any matter in respect of which it would be unlawful to exclude or limit liability under applicable law.

14.4 You acknowledge that the disclaimers and limitations in Sections 13 and 14 constitute a fundamental basis on which the Operator provides the Service free of charge, and that the Operator would not provide the Service on these terms in their absence.

15. Indemnification

15.1 To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless the Operator from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

(a) your use or misuse of the Service;

(b) your breach of these Terms;

(c) your violation of any applicable law or of the rights of any third party; or

(d) any content or information you transmit through the Service.

16. Governing Law and Dispute Resolution

16.1 These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles, and by the federal laws of the United States to the extent applicable.

16.2 Before commencing any formal proceeding, the parties shall first attempt in good faith to resolve any dispute informally by written notice to the other party describing the dispute and the relief sought.

16.3 Subject to Section 16.2, the parties submit to the exclusive jurisdiction of the state and federal courts located in New York in respect of any dispute arising out of or in connection with these Terms.

17. Changes to These Terms

17.1 The Operator may amend these Terms from time to time. Where the Operator does so, it will update the “Last Updated” date set out above and, where the changes are material, will take reasonable steps to notify Users.

17.2 Your continued use of the Service following the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you must cease using the Service and may delete your Account.

18. General

18.1 Entire agreement. These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and the Operator in respect of the Service, and supersede all prior agreements and understandings.

18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed, and the remaining provisions shall continue in full force and effect.

18.3 No waiver. No failure or delay by the Operator in exercising any right under these Terms constitutes a waiver of that right, and no single or partial exercise of any right precludes any further exercise of it.

18.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without the Operator’s prior written consent. The Operator may assign or transfer its rights and obligations under these Terms, including in connection with a transfer of the Service.

18.5 Force majeure. The Operator shall not be liable for any failure or delay in performance arising from any cause beyond its reasonable control, including the failure or unavailability of any third-party provider, mobile carrier, or network.

18.6 No agency. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and the Operator.

18.7 Notices. The Operator may provide notices to you by SMS or to the email address associated with your Account. You may contact the Operator as set out in Section 19.
